[CSL board] officer selection/drafting

The usual, pseudo-humble disclaimers apply. I am interpreting the
will of the board and it's leader (Karen), not setting policy or
dictating to the board.
Already we've talked some about officer responsibilites. One item
on executive committee agenda is getting set for February officer
elections.
Everyone on the board is qualified to be an officer.
The board leads the organization, (set policy) the
officers lead the board.
President:
lead officers Run meetings, sign checks,
represent org to funders,
attend exec committee meetings,
Vice President:
Train to be president, sign checks,
act in president's absence
advise/correct president,
attend exec committee
meetings.
Treasurer:
Be responsible for money --
--at a minimum reconcile bank
statements, sign checks
attend monthly exec committee
meetings.
Clerk:
Keep meeting minutes, help staff file government reports
attend monthly executive committee meetings.
Sign checks. Maintain accurate list of board
membership & board terms.
Again, everyone is qualified for everything. Karen & I have/will
asked/ask specific people to serve. Our criteria was/is pretty much:
good attendance at quarterly board meetings,
willingness to attend monthly executive meetings
been on the board for at least 6 months
not married to me. (avoid conflict of interest)
person didn't recently decline officer spot.
However, anyone not contacted is welcome to put themselves
forward. There is nobody now serving on the board who would do a
a bad job in any of the officer spots.
Also, the executive committee meeting is open to everyone who is
willing to contribute monthly instead of quarterly.
